Public Private Partnerships

South African PPP (PFI) - General

• Our firm is widely recognised as having a very high level of expertise in relation to South African PPP's (which are closely modelled on English PFI's). Two notable PPP transactions closed in the last year where Deneys Reitz acted as lead adviser, namely the Department of Education's Head Office Accommodation PPP project and the Department of Health of the Western Cape government's rehabilitation and psychiatric hospital project. Both are based on National Treasury's standardisation manual for PPP's. The Department of Health PPP Project was closed following one of the shortest recorded negotiation periods for PPP's in South Africa. The firm is also currently involved in negotiations in respect of the Department of Foreign Affairs head office accommodation project, as adviser to the Department of Foreign Affairs.

Maputo Corridor N4 Toll Road Project, RSA and Mozambique

• Advised financial institutions lending to the Maputo Corridor N4 Toll Road project, a public private partnership for the concessioning of the upgrading/building, maintaining and operating of the toll road. This was the first major PPP project in South Africa and an important element in the opening of Mozambique. Also advised on the refinancing.

Department of Foreign Affairs: Accommodation PPP Project, South Africa

• Advised the Department of Foreign Affairs of the Government of the Republic of South Africa, in respect of the financing, design, construction, operation and maintenance of new serviced head office accommodation for the Department of Foreign Affairs. Advice includes the review of relevant legislation, drafting and negotiating the Public Private Partnership Agreement with the preferred bidder and reviewing all documentation prepared by the preferred bidder and their financiers.

Global Advisers (Deutsche Bank & JP Morgan): Telkom IPO, South Africa.

• Review of legislation, commenting on various documents including the prospectus drafting and negotiation of contracts and advised on all legal aspects of the transaction. Sale of Government shares in Telkom and listing Telkom on the JSE Securities Exchange and New York Stock Exchange.
